Data Processing Agreement

1. Purpose of Agreement

This Data Processing Agreement governs how Marko LLC processes personal data on behalf of the Employer through Ajiri. It ensures compliance with applicable data protection laws and outlines each party’s responsibilities.

2. Definitions

• Controller: The Employer who determines the purpose and means of processing applicant data.
• Processor: Marko LLC, operating Ajiri, which processes applicant data on behalf of the Controller.
• Personal Data: Any information relating to an identified or identifiable applicant.
• Processing: Any operation performed on Personal Data, including collection, storage, transmission, or deletion.

3. Scope of Processing

Marko LLC processes Personal Data solely to provide AI‑powered pre‑screening services, including:

• Initial contact with applicants
• Questionnaire delivery and collection
• Interview scheduling and confirmations
• Usage analytics to improve platform functionality

Processing is limited to what is necessary to deliver these services.

4. Controller Responsibilities

The Employer agrees to:

• Collect Personal Data lawfully and provide required notices to applicants
• Ensure data shared with Ajiri is accurate and relevant
• Use applicant data only for legitimate hiring purposes
• Comply with all employment and data protection laws
• Respond to applicant rights requests (unless delegated to Marko LLC)

5. Processor Responsibilities

Marko LLC agrees to:

• Process Personal Data only on documented instructions from the Employer
• Maintain appropriate technical and organizational security measures
• Restrict access to Personal Data to authorized personnel
• Notify the Employer of any data breach without undue delay
• Assist the Employer in fulfilling data protection obligations where reasonable
• Delete or return Personal Data upon termination of services, per the Privacy Policy

6. Sub‑Processors

Marko LLC does not use third‑party AI model providers and does not share applicant data with external processors except:

• Functional service providers necessary for platform operation (e.g., hosting, email delivery)
• Employers using Ajiri to manage hiring

Marko LLC will ensure any sub‑processor follows equivalent data protection obligations.

7. Data Retention

Personal Data is retained for 6 months, unless the Employer instructs otherwise or an applicant requests deletion earlier.

8. Security Measures

Marko LLC implements security controls appropriate to the nature of the data, including:

• Access controls
• Encrypted data transmission
• Activity logging
• Regular system monitoring

Additional measures may be implemented as needed to maintain data integrity and confidentiality.

9. Data Subject Rights

Marko LLC will assist the Employer in responding to applicant requests, including:

• Access
• Correction
• Deletion
• Restriction of processing

Applicants may also contact support@ajiri.app with the subject “Data Deletion” to request removal of their data.

10. International Transfers

Marko LLC does not transfer applicant data outside the United States unless required for service delivery and only with appropriate safeguards.

11. Breach Notification

In the event of a Personal Data breach, Marko LLC will notify the Employer promptly and provide relevant details to support compliance with legal obligations.

12. Term & Termination

This DPA remains in effect as long as the Employer uses Ajiri. Upon termination, Marko LLC will delete or return Personal Data according to the Privacy Policy and Employer instructions.

13. Governing Law

This Agreement is governed by the laws of the State of New York.
